Seller Terms & Conditions

These Seller Terms & Conditions (“Seller Terms”, “Terms”, or “Agreement”) govern the registration and use of the Nyxure marketplace by sellers.

Nyxure is an Indian multi-vendor e-commerce marketplace owned and operated by Radhekishori Ecom Private Limited (“Nyxure”, “we”, “our”, or “us”).

By registering as a seller, listing products, accepting orders, or otherwise using the Nyxure seller platform, you agree to these Seller Terms & Conditions.

If you do not agree with these Terms, you should not register or operate as a seller on Nyxure.

Seller Eligibility

Nyxure currently accepts sellers only if they have a valid and active GST registration.

To sell products on Nyxure, you must:

• Be legally capable of entering into a binding agreement.
• Provide accurate business and personal information.
• Provide valid identification and business documents required by Nyxure.
• Have a valid and active GST registration.
• Provide your valid GSTIN during seller registration and verification.
• Provide valid bank account details for receiving payments.
• Have all licenses, registrations, approvals, and permissions required to sell your products.
• Comply with all applicable laws and regulations.

Sellers without a valid GST registration are not eligible to register or sell products on Nyxure.

Nyxure may verify a seller’s GSTIN, business information, documents, and other details before approving a seller account or at any time during the seller’s participation on the marketplace.

If a seller’s GST registration becomes cancelled, suspended, inactive, invalid, or otherwise unavailable, the seller must promptly notify Nyxure.

Nyxure may restrict or suspend selling privileges if a seller no longer satisfies the eligibility requirements.

Seller Account

Each seller is responsible for maintaining the security of their seller account.

Sellers must:

• Keep their login credentials confidential.
• Provide accurate and updated account information.
• Immediately notify Nyxure if they believe their account has been accessed without authorization.
• Not allow unauthorized persons to operate their seller account.

Sellers are responsible for activities carried out through their seller account.

Seller Information and Verification

Sellers must provide accurate and complete information, including where applicable:

• Legal name or business name.
• Business address.
• Contact information.
• Bank account details.
• GSTIN.
• PAN or other applicable tax information.
• Product and brand information.
• Required licenses or certifications.

Sellers must promptly update information that becomes inaccurate or outdated.

Nyxure may request additional documents or information for verification, compliance, security, fraud prevention, or marketplace operations.

Product Listings

Sellers are responsible for the accuracy of their product listings.

Product listings must contain accurate information regarding:

• Product title.
• Product description.
• Product images.
• Specifications.
• Sizes and dimensions.
• Colors and variants.
• Price.
• Stock availability.
• Warranty information, where applicable.

Sellers must not create misleading, deceptive, false, or inaccurate listings.

Products delivered to customers must substantially match the description and specifications displayed on Nyxure.

Product Authenticity and Quality

Sellers must sell genuine and legally sourced products.

Sellers must not list or sell:

• Counterfeit products.
• Fake branded products.
• Stolen products.
• Pirated products.
• Products that infringe intellectual property rights.
• Illegal products.
• Products prohibited by applicable law.
• Products prohibited under Nyxure policies.

Sellers are responsible for ensuring that their products meet applicable quality, safety, labeling, packaging, and regulatory requirements.

Product Pricing

Sellers are responsible for setting accurate product prices.

Sellers must not:

• Manipulate prices in a misleading manner.
• Advertise false discounts.
• Add undisclosed charges.
• Misrepresent the original price of a product.
• Use pricing practices intended to deceive customers.

Applicable taxes, fees, shipping charges, and other amounts must be accurately represented through the Nyxure platform and in accordance with applicable requirements.

Inventory Management

Sellers must maintain accurate inventory information.

Sellers are expected to:

• Keep stock information updated.
• Avoid accepting orders for unavailable products.
• Update or remove products that are no longer available.
• Fulfill accepted orders within the applicable processing period.

Repeated cancellations caused by inaccurate inventory information may affect seller performance and may result in account restrictions.

Order Processing

Once an order is accepted, the seller is responsible for properly preparing the product for shipment.

Sellers must:

• Process orders within the applicable processing time (“within the processing period specified by Nyxure for the applicable product or order.”).
• Pack products securely and appropriately.
• Ensure the correct product and quantity are shipped.
• Provide accurate shipment information.
• Cooperate with Nyxure and logistics partners.

Failure to properly fulfill accepted orders may result in seller performance action.

Shipping and Delivery

Sellers must comply with Nyxure’s Shipping & Delivery Policy and applicable logistics requirements.

Depending on the fulfillment arrangement, sellers may be responsible for:

• Preparing packages.
• Providing accurate shipment details.
• Handing packages to the designated logistics partner.
• Following applicable packaging requirements.
• Cooperating with delivery investigations.

Actual delivery may depend on independent logistics and courier partners.

Returns, Replacements and Refunds

Sellers must comply with Nyxure’s Return & Refund Policy.

Where applicable, sellers must cooperate with:

• Return requests.
• Replacement requests.
• Refund requests.
• Product inspections.
• Return pickups.
• Customer complaints.

Sellers may be required to provide information or evidence regarding disputed orders, returned products, or customer complaints.

Customer Service

Sellers must communicate with customers professionally and respectfully.

Sellers must not:

• Harass customers.
• Threaten customers.
• Use abusive or offensive language.
• Mislead customers.
• Request unauthorized payments.
• Attempt to move transactions outside Nyxure.
• Use customer information for unauthorized purposes.

Seller Payments and Settlements

Payments owed to sellers may be processed according to Nyxure’s applicable payment and settlement procedures.

Payment timing may depend on factors including:

• Order status.
• Delivery confirmation.
• Returns or refunds.
• Payment processing.
• Seller verification.
• Applicable deductions or adjustments.

Nyxure may make deductions, adjustments, or hold amounts where permitted under these Terms, applicable policies, or law.

Taxes and GST

All sellers on Nyxure are required to maintain a valid and active GST registration throughout their participation on the marketplace.

Sellers are responsible for complying with all applicable tax obligations relating to their business and products.

Sellers must:

• Maintain a valid and active GST registration.
• Provide accurate GSTIN information.
• Issue legally compliant invoices.
• Charge and report applicable taxes correctly.
• Maintain appropriate tax records.
• Comply with applicable GST and other tax requirements.

Sellers must promptly inform Nyxure if their GST registration is cancelled, suspended, inactive, invalid, or otherwise changes in status.

Providing false, inaccurate, expired, cancelled, or misleading GST information may result in account restriction, suspension, or termination.

Nyxure may collect, verify, report, or provide seller information where required by applicable law.

Seller Licenses and Regulatory Compliance

Sellers are responsible for obtaining and maintaining all licenses, registrations, certifications, and approvals required for their products and business.

Depending on the products being sold, requirements may relate to:

• Product safety.
• Food products.
• Cosmetics.
• Electronics.
• Consumer goods.
• Legal metrology.
• Intellectual property.
• Environmental requirements.
• Other applicable regulations.

Nyxure may request supporting documentation where reasonably necessary.

Prohibited Products

Sellers must not list or sell products prohibited by:

• Applicable Indian law.
• Government regulations.
• Nyxure policies.
• Payment providers.
• Logistics partners.

Nyxure may remove prohibited listings and take appropriate action against sellers.

Intellectual Property

Sellers must respect the intellectual property rights of third parties.

Sellers must have the necessary rights or permissions to use:

• Product images.
• Product descriptions.
• Brand names.
• Logos.
• Trademarks.
• Copyrighted content.

Sellers must not upload, publish, or sell content or products that infringe another person’s intellectual property rights.

Customer Reviews and Ratings

Sellers must not manipulate the Nyxure review or rating system.

Prohibited activities include:

• Creating fake reviews.
• Purchasing fake reviews.
• Creating fake customer accounts.
• Offering unauthorized incentives for positive reviews.
• Threatening customers because of negative reviews.
• Manipulating ratings.

Nyxure may remove fraudulent or inappropriate reviews and take appropriate action against sellers involved in review manipulation.

Customer Information and Privacy

Sellers may receive certain customer information necessary to fulfill orders.

Sellers must:

• Use customer information only for legitimate order-related purposes.
• Protect customer information from unauthorized access.
• Not sell or disclose customer information.
• Not use customer information for unauthorized marketing.
• Comply with applicable privacy and data protection requirements.

Customer information must be handled securely and responsibly.

Fraud and Abuse

Sellers must not engage in fraudulent, deceptive, or abusive activities.

This includes:

• Fake orders.
• Self-ordering to manipulate sales.
• Promotional abuse.
• Payment fraud.
• False delivery claims.
• False return claims.
• Manipulation of seller performance.
• Circumventing Nyxure systems.
• Any activity intended to deceive Nyxure or customers.

Nyxure may investigate suspected fraudulent activity and take appropriate action.

Seller Code of Conduct

Sellers must comply with Nyxure’s Seller Code of Conduct.

The Seller Code of Conduct establishes additional standards regarding:

• Customer treatment.
• Product quality.
• Listing accuracy.
• Pricing.
• Order fulfillment.
• Marketplace integrity.
• Fraud prevention.
• Legal compliance.

The Seller Code of Conduct forms part of the seller’s obligations on Nyxure.

Seller Performance

Nyxure may monitor seller performance using factors such as:

• Order cancellation rate.
• Order fulfillment rate.
• Shipping performance.
• Return rate.
• Refund rate.
• Customer complaints.
• Customer ratings.
• Product quality.
• Policy violations.

Poor or repeatedly unacceptable performance may result in warnings, restrictions, suspension, or termination.

Account Suspension or Termination

Nyxure may suspend, restrict, or terminate a seller account where reasonably necessary, including in cases involving:

• Violation of these Terms.
• Fraudulent activity.
• Sale of prohibited products.
• Repeated customer complaints.
• Poor seller performance.
• False or misleading information.
• Invalid or cancelled GST registration.
• Tax or compliance issues.
• Intellectual property violations.
• Abuse of Nyxure systems.
• Any activity that may harm customers, sellers, Nyxure, or the marketplace.

Where appropriate, Nyxure may remove affected product listings or restrict selling privileges.

Seller Responsibilities After Termination

If a seller account is suspended or terminated, the seller may still be required to:

• Complete outstanding obligations.
• Resolve eligible customer complaints.
• Process applicable returns and refunds.
• Cooperate with investigations.
• Comply with applicable legal and tax obligations.

Termination does not automatically remove obligations that arose before termination.

Marketplace Role

Nyxure operates and controls the Nyxure marketplace platform through which independent sellers offer products to customers. Products listed on Nyxure are offered and sold by the respective sellers, subject to these Seller Terms & Conditions and Nyxure’s applicable marketplace policies. Sellers remain responsible for the legality, authenticity, quality, accuracy, sourcing, pricing, taxation, licensing, and fulfillment of their products and orders, except to the extent expressly assumed by Nyxure under applicable law or a separate agreement.

Unless expressly stated otherwise, sellers remain responsible for:

• Their products.
• Product legality.
• Product quality.
• Product descriptions.
• Pricing.
• Order fulfillment.
• Applicable taxes.
• Required licenses.
• Compliance with applicable laws.

Certain aspects of payment processing, shipping, logistics, customer support, and other marketplace services may be provided through independent third-party service providers.

Changes to Seller Terms

Nyxure may update these Seller Terms & Conditions from time to time to reflect changes in:

• Marketplace services.
• Business practices.
• Seller requirements.
• Technology.
• Applicable laws or regulations.

Updated Terms will be published on the Nyxure website with a revised Last Updated date.

Continued use of the Nyxure seller platform after updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.
