At Nyxure, an Indian multi-vendor e-commerce marketplace owned and operated by Radhekishori Ecom Private Limited, we respect the intellectual property rights of brands, businesses, creators, sellers, customers, and other rights holders.

Nyxure provides a marketplace through which independent sellers may list and sell products to customers. Sellers are responsible for ensuring that the products they offer and the content they upload or provide through Nyxure do not infringe the intellectual property rights of any third party.

At the same time, Nyxure maintains marketplace rules and procedures to address suspected intellectual property infringement and to protect the integrity of the Nyxure marketplace.

This Intellectual Property Policy explains:

• How intellectual property complaints can be submitted.
• How Nyxure may review and respond to complaints.

This Policy forms part of Nyxure’s broader marketplace framework and should be read together with our Terms & Conditions, Seller Terms & Conditions, Seller Code of Conduct, Prohibited & Restricted Products Policy, Privacy Policy, and other applicable policies.

What Is Intellectual Property?

Intellectual property generally refers to legally protected rights relating to creations, brands, designs, inventions, works, and other forms of intellectual or commercial property.

Depending on the circumstances and applicable law, intellectual property may include:

• Trademarks and service marks
• Copyrights
• Trade names and logos
• Product designs
• Patents
• Design rights
• Trade dress
• Domain names
• Brand identifiers
• Original photographs
• Product descriptions and other original written content
• Artwork, graphics, videos, and other creative works
• Other legally protected intellectual property

The availability and scope of protection for any particular intellectual property right depends on applicable law and the specific circumstances.

Nyxure’s Marketplace Model

Nyxure operates a multi-vendor marketplace where independent sellers may offer products to customers.

Products are sold by the respective sellers through the Nyxure marketplace.

Sellers are responsible for ensuring that:

• They have the necessary rights to sell the products they list.
• Their products do not unlawfully infringe third-party intellectual property rights.
• They have appropriate authorization where required to use a brand name, trademark, logo, photograph, product image, description, or other protected material.
• Their listings contain accurate and lawful information.
• They do not offer counterfeit or unauthorized products.
• They comply with Nyxure’s Seller Terms & Conditions, Seller Code of Conduct, and other marketplace requirements.

Nyxure controls and operates the marketplace platform and may take action against listings or sellers that violate this Policy or other applicable marketplace requirements.

Seller Intellectual Property Responsibilities

Before listing a product on Nyxure, sellers must ensure that they have the necessary rights, permissions, licenses, authorizations, or other lawful basis to:

• Sell the product.
• Use the applicable brand name.
• Use trademarks or logos.
• Upload product photographs.
• Upload product videos.
• Publish product descriptions.
• Use product packaging images.
• Use marketing materials.
• Use other intellectual property included in their listing.

A seller must not upload, reproduce, distribute, display, or use intellectual property belonging to another person or business without appropriate authorization or other lawful basis.

Copyright

Copyright may protect original creative works, including photographs, videos, artwork, written content, graphics, illustrations, software, and other eligible works.

Sellers must not upload or use copyrighted material belonging to another person or business without appropriate permission or another lawful basis.

Examples of potentially problematic conduct include:

• Copying another seller’s original product photographs.
• Copying photographs from a brand’s official website without authorization.
• Copying another seller’s product descriptions.
• Uploading copyrighted promotional videos without permission.
• Copying artwork, graphics, or other creative material.
• Using copyrighted content in a way that infringes the rights of its owner.

Where a legitimate copyright concern is reported, Nyxure may review the relevant listing and take appropriate action in accordance with this Policy and applicable law.

Trademarks and Brand Names

Trademarks may include names, logos, symbols, words, phrases, designs, or other identifiers used to distinguish goods or services.

Sellers must not misuse another person’s or company’s trademarks.

Examples may include:

• Using a brand logo without authorization.
• Representing a product as being manufactured by a brand when it is not.
• Creating a misleading association with a brand.
• Using a trademark in a way that falsely suggests sponsorship, affiliation, authorization, or endorsement.
• Selling counterfeit products bearing another party’s trademark.
• Using brand images or marketing material without appropriate authorization.

The legitimate use of a trademark may depend on the circumstances, the product, the manner of use, and applicable law.

Counterfeit and Fake Products

Nyxure strictly prohibits the listing or sale of counterfeit or fake products.

A counterfeit product may include a product that:

• Falsely bears another party’s trademark.
• Imitates a branded product without authorization.
• Is falsely represented as genuine.
• Uses unauthorized brand packaging or identifiers.
• Is otherwise intended to deceive customers regarding its origin or authenticity.

Sellers must not list or sell counterfeit products through Nyxure.

Where Nyxure identifies or receives a credible complaint concerning suspected counterfeit goods, Nyxure may take appropriate action, including restricting or removing the listing, investigating the seller, suspending selling privileges, or taking other action permitted under its policies and applicable law.

Unauthorized Brand Representation

Sellers must not falsely represent themselves as:

• An authorized distributor
• An authorized retailer
• An official brand representative
• A manufacturer
• An affiliated company
• An agent
• An exclusive seller
• An otherwise authorized representative

Unless they have the appropriate authorization or lawful basis to make such representation.

Sellers should provide accurate information regarding their relationship with brands and manufacturers.

Product Images and Listing Content

Sellers are responsible for ensuring that product images and listing content uploaded to Nyxure are lawful and do not infringe third-party rights.

This includes:

• Product photographs
• Brand photographs
• Product descriptions
• Videos
• Graphics
• Logos
• Packaging images
• Marketing content
• Technical documents
• Other materials

Sellers should use original content or content that they are legally authorized to use.

A seller must not copy another seller’s original listing content merely to reproduce or replicate that seller’s listing.

Intellectual Property Owned by Nyxure

The Nyxure website, marketplace interface, branding, logos, graphics, original content, software, design elements, text, and other materials created or owned by Nyxure may be protected by intellectual property laws.

Unless expressly permitted by Nyxure or applicable law, users and sellers must not:

• Copy Nyxure’s branding.
• Reproduce Nyxure’s original content.
• Use Nyxure’s logo without authorization.
• Copy substantial portions of the Nyxure website.
• Reproduce or distribute Nyxure’s proprietary materials.
• Use Nyxure’s intellectual property in a way that suggests unauthorized affiliation or endorsement.

Nothing in this Policy grants a seller or customer ownership of Nyxure’s intellectual property.

Reporting Intellectual Property Infringement

If you believe that a product, listing, image, description, trademark, or other material available on Nyxure infringes your intellectual property rights, you may submit a complaint to Nyxure.

Reports should contain sufficient information for Nyxure to understand and evaluate the complaint.

Where applicable, an intellectual property complaint should include:

A. Rights Holder Information

• Full name of the rights holder.
• Company or organization name, if applicable.
• Contact email address.
• Contact telephone number.
• Address, where reasonably necessary.

B. Intellectual Property Information

Please identify the intellectual property involved, such as:

• Trademark
• Copyright
• Design
• Patent
• Logo
• Brand identifier
• Other intellectual property right

Where applicable, provide relevant registration numbers, registration certificates, ownership documents, or other evidence supporting the claimed rights.

C. Identification of the Reported Material

Please provide:

• Product name.
• Product or listing URL.
• Seller name.
• Product ID or listing ID, where available.
• Screenshots or photographs.
• Description of the allegedly infringing material.

D. Explanation of the Complaint

Please clearly explain:

• What intellectual property right is allegedly being infringed.
• How the reported product or content allegedly infringes that right.
• Why the seller or listing is believed to be unauthorized.
• Any other information that may assist Nyxure in reviewing the complaint.

E. Declaration

Where appropriate, Nyxure may require the complainant to confirm that:

• The information provided is accurate to the best of their knowledge.
• They are the rights holder or are authorized to act on behalf of the rights holder.
• The complaint is being submitted in good faith.
• They understand that intentionally false or misleading information may have consequences under applicable law.

Review of Intellectual Property Complaints

After receiving a complaint, Nyxure may review the information provided to determine whether further action is appropriate.

Depending on the circumstances, Nyxure may:

• Verify the information provided.
• Request additional documentation.
• Request evidence of intellectual property ownership.
• Contact the affected seller.
• Request a response from the seller.
• Review the relevant listing.
• Review product information.
• Review seller records.
• Compare the reported content with available information.
• Contact the complainant for clarification.
• Consult external advisers or experts where appropriate.
• Take other reasonable steps to evaluate the complaint.

Submitting a complaint does not automatically establish that infringement has occurred.

Nyxure may consider the information provided by the complainant, the seller’s response, available evidence, applicable policies, and applicable law.

Temporary Restrictions During Review

Where appropriate, Nyxure may temporarily restrict, hide, suspend, or remove a listing while an intellectual property complaint is being reviewed.

Such action may be taken where Nyxure reasonably considers it necessary to:

• Protect customers.
• Protect rights holders.
• Prevent potential counterfeit sales.
• Prevent further alleged infringement.
• Protect the integrity of the marketplace.
• Comply with applicable law or a lawful direction.

Temporary action does not necessarily constitute a final determination that infringement has occurred.

Seller Response

Where appropriate, a seller may be given an opportunity to respond to an intellectual property complaint.

A seller may be asked to provide information such as:

• Proof of lawful sourcing.
• Authorization or license documents.
• Invoices or purchase records.
• Brand authorization documentation.
• Evidence supporting the right to use particular images or content.
• Other relevant information.

The seller should provide truthful and complete information within the timeframe communicated by Nyxure.

Actions Nyxure May Take

Depending on the circumstances, Nyxure may take one or more of the following actions:

• Remove or restrict a product listing.
• Disable access to specific content.
• Restrict the seller’s ability to list products.
• Require corrective changes to a listing.
• Request additional documentation.
• Suspend a seller’s account or selling privileges.
• Terminate a seller’s participation in the marketplace.
• Restrict particular products or categories.
• Cancel affected orders where appropriate.
• Take measures against repeat infringement.
• Cooperate with rights holders or competent authorities where appropriate or legally required.
• Take any other action permitted under Nyxure’s policies and applicable law.

The action taken will depend on the nature, severity, credibility, frequency, and circumstances of the reported conduct.

Repeat Infringement

Nyxure may take stronger action against sellers who repeatedly receive credible intellectual property complaints or repeatedly violate this Policy.

Depending on the circumstances, repeated violations may result in:

• Listing restrictions.
• Product restrictions.
• Temporary suspension.
• Permanent suspension.
• Termination of seller participation.
• Other marketplace enforcement measures.

Nyxure may consider the nature and seriousness of each incident when determining the appropriate response.

False or Misleading Complaints

Intellectual property complaints must be submitted in good faith.

A person must not knowingly submit:

• False complaints.
• Fraudulent ownership claims.
• Misleading evidence.
• False statements regarding authorization.
• Complaints intended to unfairly harm a seller or competitor.
• Repeated complaints concerning matters that have no legitimate intellectual property basis.

Nyxure may take appropriate action where a complainant repeatedly abuses the intellectual property complaint mechanism.

Nothing in this section prevents a genuine rights holder from submitting a legitimate complaint or exercising rights available under applicable law.

Seller Counter-Notice or Dispute

If a seller believes that a listing was restricted or removed incorrectly, the seller may contact Nyxure using the relevant seller support or complaint mechanism.

The seller should provide:

• Seller account information.
• Product or listing ID.
• Explanation of the dispute.
• Evidence supporting the seller’s position.
• Authorization documents, licenses, invoices, or other relevant information where applicable.

Nyxure may review the seller’s response and determine whether the restriction should remain, be modified, or be removed.

Nothing in this internal process prevents any party from pursuing remedies available under applicable law.

Brand Authorization

A seller who claims to be an authorized seller, distributor, retailer, licensee, manufacturer, or representative of a brand may be required to provide appropriate evidence of authorization.

Such evidence may include:

• Authorization letters.
• Distribution agreements.
• Licenses.
• Purchase documentation.
• Invoices.
• Other appropriate business records.

Nyxure may request such information at any time where reasonably necessary to verify marketplace compliance.

Product Authenticity and Sourcing

Sellers must maintain appropriate records demonstrating the lawful sourcing and authenticity of products they sell through Nyxure.

Depending on the product and circumstances, Nyxure may request:

• Purchase invoices.
• Supplier information.
• Distributor information.
• Brand authorization.
• Import documentation.
• Product certificates.
• Other relevant records.

Sellers must provide truthful and complete information when requested.

Intellectual Property Disputes Between Sellers

If two or more sellers dispute ownership or rights relating to:

• Product photographs
• Product descriptions
• Listing content
• Brand rights
• Product designs
• Other intellectual property

Nyxure may review the available information and take appropriate marketplace action.

However, Nyxure may not be able to make a final legal determination of ownership in every dispute.

Where appropriate, Nyxure may require the parties to provide additional evidence or seek resolution through the appropriate legal or regulatory forum.

Legal Proceedings and Official Notices

If Nyxure receives a valid legal notice, court order, government direction, or other legally binding communication concerning intellectual property, Nyxure may take action as required or permitted by applicable law.

Nyxure may also cooperate with competent authorities, courts, regulators, rights holders, or other authorized parties where legally required or appropriate.

No Transfer of Intellectual Property Rights

Listing or selling a product through Nyxure does not transfer ownership of intellectual property rights to Nyxure.

Similarly, providing content to Nyxure for marketplace purposes does not automatically transfer ownership of that content to Nyxure, except where a separate agreement or applicable terms provide otherwise.

Sellers remain responsible for ensuring that they have the necessary rights to use content submitted to Nyxure.

Marketplace Content and Intellectual Property

Sellers may retain ownership of intellectual property that they lawfully own and upload to Nyxure, subject to the rights and licenses granted to Nyxure under the applicable Seller Terms & Conditions or other agreements.

By submitting content to Nyxure, sellers must ensure that Nyxure’s use of that content for legitimate marketplace purposes is authorized to the extent required.

This may include displaying:

• Product images
• Product descriptions
• Brand information
• Product specifications
• Promotional material
• Other listing content

Sellers must not submit content that they do not have the right to provide.

Compliance With Applicable Law

All sellers and users must comply with applicable intellectual property laws and other applicable laws and regulations.

Nothing in this Policy is intended to replace or override applicable law.

The rights and remedies available to intellectual property owners may include remedies under applicable copyright, trademark, patent, design, or other laws.

Nyxure may update its procedures where required by changes in applicable law or regulatory requirements.

Limitation of This Policy

This Policy describes Nyxure’s marketplace procedures for addressing intellectual property concerns.

It does not constitute legal advice and does not determine the legal validity or enforceability of any particular intellectual property right.

Nyxure may consider the information and evidence available to it when responding to a complaint, but a final determination of legal ownership or infringement may, in appropriate circumstances, require determination by a competent court, authority, or other legally recognized forum.
